Basic policy on information disclosure

In order to enhance the transparency and fairness of corporate management, Mitsubishi Shokuhin promotes IR activities widely and endeavors to provide shareholders and investors with the necessary information accurately and promptly, based on the active and timely disclosure of company information and financial information.

Information disclosure standards

Mitsubishi Shokuhin discloses information in accordance with the Financial Instruments and Exchange Act, other laws and regulations, and the timely disclosure rules established by the Tokyo Stock Exchange. In addition, even if the information does not need to be disclosed under the timely disclosure rules, we disclose information about decisions made, occurrence of material fact, and financial settlement that we believe will affect investment decisions as promptly and fairly as possible.

Information disclosure method

We register and publish information that falls under the timely disclosure rules on the Timely Disclosure Network (TDnet) provided by the Tokyo Stock Exchange, and post it on our website as quickly as possible.
In addition, when disclosing information that does not fall under the timely disclosure rules, we disclose it in an appropriate manner according to the content of the information.

Internal system related to the timely disclosure procedure

Mitsubishi Shokuhin has established a “Timely Disclosure Committee” to comprehensively aggregate important information about Mitsubishi Shokuhin and the Mitsubishi Shokuhin Group and to ensure the timeliness and appropriateness of information disclosure.
The Timely Disclosure Committee is chaired by the information handling manager appointed by the president, and its members are composed of heads of departments and divisions, such as the public relations, general affairs, IR, and accounting departments, who aggregate all important company information, including subsidiary information. The committee consults and examines the aggregated company information and decides on the need for timely disclosure, as well as its content, timing, and methods.
In addition, important company information is carefully managed based on the internal regulations “Insider Trading Regulations.”

Financial results forecasts and future predictions

The forecasts and forward-looking statements are based on information available to the Company at the time of preparation and are subject to uncertainties and various risk factors. Therefore, actual results may differ materially from those disclosed.

Quiet period

In order to prevent the leakage of financial information before announcements and to ensure fairness, Mitsubishi Shokuhin sets a “quiet period” from the day after the quarterly closing date to the announcement date of financial results. During this period, we do not provide answers or comments to questions regarding the financial results, and we do not hold individual meetings in principle. However, if facts that are subject to timely disclosure occur during this period, we disclose information in a timely and appropriate manner. Note that we do respond to inquiries regarding information that has already been published.
